MSI Terms Of Use

MySocialNetwork ("MSI") is the Monetized Social Network that allows its Members to reach out and connect with people around the world. MSI offers its Service to Free Members, Independent Business Members, as well as, Entrepreneurs and Businesses who wish to share personal information, business expertise and/or sell and market their own products and services. Our Members can also take part in MSI's Referrals Reward Program. MSI provides its Members with the most advanced online Social Networking experience available on the Internet.

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

Overview

The MSI Network, Web site and Service (collectively, "MSI" or "Service") are operated by InteleCom, Inc, and its corporate affiliates (collectively, "MSI," "us," "we" or "the Company"). The use of the MSI Web site (the "Web site") and its information is offered under acceptance of the Terms of Use herein. Please read these Terms of Use carefully before using the MSI Web site or Service. You agree to be bound by these Terms of Use as they are amended from time to time, and posted on the MSI Web site or Service. Your continued use of the MSI Web site or Service shall be deemed your acceptance of said Terms of Use.

If you are not satisfied with said Terms of Use, your sole recourse is to refrain from using the MSI Web site or Service. MSI reserves the right to change these Terms of Use, in whole or in part, and at any time without notice. Intended Audience

Membership in the Service is void where prohibited. The MSI Web site or Service is a personal and commercial Web site or Service and intended for both personal and commercial use. It is NOT intended for users who are under thirteen (13) years of age and does not gather personal data online from children under 13 years of age. Any registration by, use of, or access to, the Site by anyone under 13 years of age is unauthorized, unlicensed and in violation of these Terms of Use.

The MSI Referral Rewards Program is only available to people eighteen (18) years of age or older. Any registration by, participation in, use of, or access to, the MSI Referral Rewards Program Web site by anyone under 18 years of age is unauthorized, unlicensed and in violation of these Terms of Use.

By using the MSI Web site or Service, you represent and warrant that you are 13 years of age or older, or that you are 18 years of age or older if you are participating in the MSI Referral Rewards Program , and that you agree to, and to abide by, all of the Terms and Conditions of these Terms of Use.

The material on this Web site is published by MSI as a Service to MSI Members, their Referrals, and prospective MSI Members and Referrals.

MSI makes no claim that the information on this Web site is appropriate or may be downloaded legally outside of the United States. Access to the materials on this Web site may not be legal by certain persons in certain countries. If you access this Web site from outside of the United States, you do so at your own risk and are responsible for compliance with the laws in your country of residence.

Registration Data; Account Security

In consideration of your use of the Site, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to Company, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

Proprietary Rights in Site Content; Limited License

All content on the MSI Web site and available through the MSI Service, including designs, text, graphics, pictures, video, information, applications, software, music, sound and other files, and their selection and arrangement (the "Site Content"), are the proprietary property of MSI, its users or its licensors with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without the prior written permission of MSI, except that the foregoing does not apply to your own Member Content or Materials (as defined below) that you legally post on the MSI Web site or Service. Provided that you are eligible for use of the MSI Web site or Service, you are granted a limited license to access and use the MSI Web site or Service and the MSI Web site Content and to download or print a copy of any portion of the MSI Web site Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. Except for your own Member Content or Materials, you may not upload or republish MSI Web site Content on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation, and any other use of the MSI Web site Content is strictly prohibited.

Such license is subject to these Terms of Use and does not permit use of any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the MSI Web site or the MSI Web site Content other than as specifically authorized herein, without the prior written permission of MSI, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms of Use shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. There may be other trademarks, Product names, company names, logos Service marks, and/or trade dress indicated on the Web site that are the property of their respective owners.

EXCEPT AS SPECIFICALLY PROVIDED HEREIN, YOU MAY NOT USE, COPY, MODIFY OR TRANSFER THE MATERIALS OR ANY COPY IN WHOLE OR IN PART, INCLUDING ANY PRINTOUT OF ALL OR PART OF THESE MATERIALS FOR ANY COMMERCIAL USE. YOU MAY NOT TRANSLATE, REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, MODIFY OR CREATE ANY DERIVATIVE WORKS BASED ON THE MATERIAL IN THIS WEB SITE.

Member Conduct

You acknowledge that MSI is a Social Network offering FREE services to its Members and that MSI offers a Business Opportunity and that MSI allows the sale and marketing of Products and Services by its Members to other Members. You represent, warrant and agree that any and all Member Content or Materials submitted by you through your account or otherwise posted, transmitted, or shared by you on or through the MSI Web site or its Service will NOT violate or infringe upon the rights of any other Member and/or third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; AND will NOT contain libelous, defamatory or otherwise unlawful material.

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account made by you, including the content of your transmissions through the MSI Web site or Service.

By way of example, and not as a limitation, you agree NOT to:

• Register for more than one Member account, register for a Member account on behalf of an individual other than yourself, or register for a Member account on behalf of any group or entity of which you are not an owner
• Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity
• Submit Materials of any third party without such third party's prior written consent, or Materials that falsely express or imply that such Materials are sponsored or endorsed by MSI
• Create a false or misleading identity of, including, but not limited to, a MSI employees, consultants, agents, partners or affiliates
• Attempt to gain unauthorized access to the MSI Service, computer systems or networks and/or other Member accounts connected to the MSI Service, through password mining or any other means
• Upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of MSI, is objectionable or which restricts or inhibits any other person from using or enjoying the MSI Web site or Service, or which may expose MSI and its employees or its Members to any harm or liability of any type;
• Upload, post, transmit, share, store or otherwise make publicly available on the MSI Web site any private information of any third party, including, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers
• Solicit personal information from anyone under 18 years of age or solicit passwords or personally identifying information for unlawful purposes
• Modify, adapt, translate, or reverse engineer any portion of the MSI Web site or Service, or use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion or the MSI Web site or Service
• Reformat or frame any portion of the Web pages that are part of the MSI Web site or Service.
• Disseminate content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary right of any party or infringes any intellectual property law or any other applicable law
• Remove any copyright, trademark or other proprietary rights notices contained in or on the MSI Web site or related to the MSI Service
• Falsely state or otherwise misrepresent your affiliation with a person or entity, for the purpose of misleading others as to the identity of that person or entity and/or the sender or the origin of a message or to harvest or otherwise collect information about others
• Harvest or collect email addresses or other contact information of other Members from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications
• Transmit, email or post any material that contains in any form software viruses or such programs as including but not limited to, Trojan horses, worms, time bombs, cancel-bots, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment
• Use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the MSI Web site
• Use automated scripts to collect information from or otherwise interact with the Service or the Site
• Defame, abuse, harass, stalk, threaten or otherwise violate the rights (such as rights of privacy and publicity) of others
• Publish, distribute and/ or disseminate any harmful, obscene, indecent, unlawful, libelous, profane, defamatory, infringing, inappropriate, hateful, or racially, ethnically or otherwise objectionable material or information
• Use other Members' personal data for purposes other than establishing contact that is reasonably expected to be welcomed by such other Members
• Submit Materials that are unlawful or promote or encourage illegal activity or that would violate the property rights of others
• Disseminate any unsolicited or unauthorized advertising, promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', or any other form of such solicitation.
• Interfere with another Member's use and enjoyment of the MSI Web site or Service

Without limiting any of the foregoing, you also agree to abide by any and all Policies and Procedures issued by MSI regarding the authorized conduct of Members utilizing the MSI Web site and/or Service and/or MSI Referral Rewards Program.

Member Content

You are solely responsible for the information, photos, profiles (including your name, image, and likeness), messages, notes, text, music, video, advertisements, listings, and other content that you upload, publish or display (hereinafter "post") on or through the MSI Web site or Service and/or transmit to, or share with, other Members (collectively "Member Content or Materials").

You may NOT post, transmit, or share Member Content or Materials on the MSI Web site or Service that was not created by you or is not yours to post, transmit or share or that you do not have permission to post, transmit or share. You understand, acknowledge and agree that MSI may review Member Web pages and may delete or remove (without notice) any Web site Content or Member Content or materials in MSI's sole discretion, for any reason whatsoever, including Member Content or materials that might be offensive or illegal, or that might violate the rights of MSI or others, or harm, or threaten the safety of other Members, or in the sole judgment of MSI violates this Agreement or any other MSI Policy.

MSI does NOT claim any ownership rights in any Member Content or Materials that you submit, post, transmit or share on or through the MSI Web site or Services. After submitting and posting your Member Content or Materials on or through the MSI Web site or Service, you continue to retain all ownership rights in your Member Content or Materials and any intellectual property rights or other proprietary rights associated with your Member Content or Materials, and you continue to have the right to use your Member Content or Materials in any way you choose. By submitting, posting, displaying, transmitting or sharing your Member Content or Materials on or through the MSI Web site or Service, you grant to MSI a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Member Content or Materials solely on and through the MSI Web site or Service.

When you post Member Content or Materials to the MSI Web site or Service, you authorize and direct MSI to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the Member Content or Materials on the MSI Web site or Service. By posting Member Content or Materials to any part of the MSI Web site or Service, you automatically grant, and you represent and warrant that you have the right to grant, to MSI an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such Member Content or materials for any purpose, commercial, advertising, or otherwise, on or in connection with the MSI Web site or Service or the promotion thereof, to prepare derivative works of, or incorporate into other works, such Member Content or Materials, and to grant and authorize sublicenses of the foregoing.

Without this license, MSI would be unable to provide the MSI Service. Without the right to modify your Member Content or Materials, MSI would not be able to digitally compress certain files that you or other Members submit or otherwise format Member Content or Materials to satisfy technical requirements, and without the right to publicly perform Member Content or Materials, MSI could not allow other Members to utilize the Content or materials you post.

You are free to license your Member Content or Materials to anyone else in addition to MSI, fully-paid and royalty-free. MSI is not required to pay you for the use on the MSI Web site or Service of the Member Content or Materials you post, transmit or share. Your Member Content and/or Materials are sub licensable. This allows and enables MSI to use its affiliates and subcontractors such as Internet and WAP content delivery networks to provide the MSI Service.

This license does not grant MSI the right to sell your Content or Materials, nor does the license grant MSI the right to distribute your Content or Materials outside of the MSI Service. You represent and warrant that: (i) you own the Content and Materials posted by you on or through the MSI Service or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Materials on or through the MSI Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content or Materials posted by you to or through the MSI Web site or Service.

This license will terminate at the time you remove your Member Content or Materials from the MSI Web site or Service, except that you agree that the license will continue solely with respect to continued use of your Member Content or Materials by other MSI Members that are NOT music or videos, i.e., photos or skins; provided, however, if you remove any of the Materials from the MSI Web site or Service, MSI reserves the right to remove all of your Materials from other Members' MSI Web pages. If you choose to remove your Member Content, the license granted above will automatically expire; however, you acknowledge that MSI may retain archived copies of your Member Content or Materials.

MSI and its affiliates and licensors own and retain all rights in the MSI Web site and MSI Service, which contain proprietary and confidential information that is protected by applicable intellectual property and other laws, including without limitation all text, software, photographs, graphics, page layout, audios and design Content and Materials presented through and as part of the MSI Service. Except as expressly authorized by MSI you may not copy, modify, publish, transmit, distribute, perform, display or sell any of MSI's proprietary information. 'MySocialIncome' and MSI and 'MySocialIncome.com,' 'MySocialIncome.net,' 'MySocialIncome.biz,' 'MSI.com,' MSI.net' and MSI.biz are trademarks of MSI.

You are solely responsible at your sole cost and expense for creating backup copies and replacing any Member Content or Materials you post or store on the MSI Web site or Service.

PRODUCT GUARANTEES and RETURNS

Product Purchases

If you purchase items through the MSI Web site, you are responsible for providing a valid credit card number with available credit at the time of purchase, or valid checking account information with available funds at the time of purchase. You represent and warrant that you are an authorized Member of any such credit card or the owner of any such checking account. You are responsible for payment of any applicable provincial, state, local or city sales taxes. Applicable sales taxes and shipping and handling charges will be included in the purchase.

MSI Return Policy

If you are dissatisfied with any MSI Product or Service purchased for personal use, MSI offers a 100% 30-day money-back guarantee. MSI cannot and does not guarantee any Product or Service offered by other Members or third parties who make offers and sell other Products or Services through the MSI Web site or Service or through a link to another Web site and will not provide any return of money for said products. If you purchase any Products or Services through another Member or a third party on the MSI Web site or Service or through a link to another Web site and you are dissatisfied and want to return it and receive a refund, you must contact the other Member or third party provider and seller of said Product or Service.

Third Party/Member Return Policy

You acknowledge that MSI is a Social Network that allows Members to sell and buy products and services to and from other Members. MSI Members agree not hold MSI responsible for third party content, actions or inactions, or items listed by other Members. If a Member purchases a Product from another Member, MSI will not be involved in the actual transaction between buyers and sellers. MSI has no control over and does not guarantee any of the products being bought or sold, including the quality, safety or legality of items advertised. MSI cannot sand does not guarantee the truth or accuracy of a Member's content or Product listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction.

MSI cannot and does not transfer legal ownership of items from the seller to the buyer, and nothing in this agreement shall modify the governing provisions of the Nevada Commercial Code 104-2401 and 2402 and the Uniform Commercial Code 2-401(2), under which legal ownership of an item is transferred to the buyer by the seller.

To the extent permitted by law, MSI excludes all implied warranties, terms and conditions. MSI is not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of a Member's use of the MSI Web site and/or technical services. PLEASE NOTE that certain jurisdictions may not allow a disclaimer of warranties or an exclusion of damages; therefore, these disclaimers and exclusions may not apply.

Under this Agreement, each Member agrees and acknowledges that if MSI is found liable regarding transactions between members, MSI's liability to any Member or to any third party is limited to the either (a) the total fees a Member paid to MSI in the 12 months prior to the action giving rise to the liability, and/or (b) $100, whichever is greater.

Member/MSI Release

If you have a dispute with any other Member(s) of the MSI Web site or Service or any third parties, you agree to release MSI (and its officers, directors, employees, agents, subsidiaries, partners and joint ventures) from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Submissions and Privacy

Any material, information or ideas you transmit to or post on this Site by any means will be treated as non-confidential and non-proprietary, and may be disseminated or used by MSI or its related and affiliated companies for any purpose whatsoever, including, but not limited to, reproduction, transmission, publication, broadcast, posting, developing, manufacturing and marketing products. Notwithstanding the foregoing, all personal data provided to MSI will be handled in accordance with the MSI Privacy Policy. MSI has no responsibility to respond to messages posted at this Web site. Furthermore, posting or transmittal of any unlawful, threatening, libelous, defamatory, scandalous, inflammatory obscene, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense or violation of any law is strictly prohibited.

Links to Other Sites

The MSI Web site may contain links to other Internet sites ("Third Party Sites") providing advice and other Products or Services, which are owned and operated by third party vendors, as well as, articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). A link to a non-MSI Web site does not mean that MSI endorses or accepts any responsibility for the content, use, or products and services made available through such Web site. Such Third Party Sites and Third Party Applications, Software or Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Sites accessed through the Site or any Third Party Applications, Software or Content posted on, available through or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Sites or the Third Party Applications, Software or Content. By utilizing these links, you acknowledge and agree that MSI is not responsible for the actions, content, accuracy, privacy policies, opinions expressed, services provided, goods sold, or other links provided by these Internet sites. You further acknowledge and agree that MSI is not responsible, either directly or indirectly, for any damages, or losses caused or alleged to have been caused by use of or reliance on the actions, content, accuracy, privacy policy, and opinions expressed, goods, or services provided through these links or made available through these resources. Should you have questions regarding these Internet sites, you should address them directly with the site administrator for the particular site.

Shared Services

MSI offers a feature whereby users of the MSI Web site or Service can share with others or post to their own Member profile, videos, articles and other Third Party Applications, Software or Content from, and/or links to, Third Party Sites through the Service (the "Share Service"). You acknowledge and agree that your use of the Share Services and all links, User Content or Third Party Applications, Software or Content shared through the Share Service is subject to, and will fully comply with the Member Conduct Rules set forth above and the other Terms and Conditions set forth in these Terms of Use.

Use of Share Links by Online Content Providers

Subject to the terms and conditions of these Terms of Use, Third Party Sites that meet the requirements set forth below may place a Share Link (as described below), in the form approved by MSI, on pages of their Web sites to facilitate use of the Share Service. A Third Party Web site that posts a Share Link on its Web site is referred to herein as an "Online Content Provider" and shall abide by and be subject to the applicable sections of these Terms of Use. A "Share Link" is a button and/or a text link appearing on an Online Content Provider's Web page that, upon being clicked by a user, enables MSI to launch a sharing mechanism through which Members can share with others or post to their own Member Profile, links and content from that Web page.

In the event that the Share Link is a button that contains any icons or other graphic images, trademarks or other proprietary materials of MSI, the Online Content Provider is granted permission to use such images, trademarks or other materials solely for the purpose of placing the Share Link on the Online Content Provider's Web site and solely in the current form provided by MSI. In the event that the Share Link is a text link, it must include the words "MySocialIncome" as part of the link. The rights granted in this paragraph may be revoked by MSI at any time with or without cause in its sole discretion, and upon such termination, The Online Content Provider agrees to immediately remove all Share Links from its site.

In order for an Online Content Provider to include a Share Link on its pages, the Third Party Web site must not contain any Web content that if shared or posted by a Member would be a violation of the Member Conduct Rules set forth above. Without limiting the forgoing, the Online Content Provider agrees not to post a Share Link on any Web site that contains, and represents and warrants that such Web site does not and will not contain, any content that is infringing, harmful, threatening, unlawful, defamatory, abusive, inflammatory, harassing, vulgar, obscene, lewd, fraudulent, or invasive of privacy or publicity rights or that may expose MSI or its Members to any harm or liability of any type. Upon including of a Share Link, the Online Content Provider agrees to defend, indemnify and hold MSI, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with such Share Link, any links, content or other items or materials which may be shared or posted through such Share Link, or any breach or alleged breach of the foregoing representations and warranties.

By including a Share Link, The Online Content Provider automatically grants, and represents and warrants that it has the right to grant, to MSI an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use the Share Service in order to link to, use, copy, publish, stream, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), summarize, and distribute the content, links and other materials of any kind residing on any Web pages on which the Online Content Provider places the Share Link.

Disclaimers and Warranties

MSI and its Employees, Consultants, Agents, Affiliates, Licensors, Partners and/or Suppliers disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability or availability of information or materials displayed on the MSI Web site or Service.

Termination of the MSI Service

Governing Law; Venue and Jurisdiction

By visiting or using the MSI Web site and/or the Service, you agree that the laws of the State of Nevada, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and MSI or any of our affiliates. With respect to any disputes or claims not subject to arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Nevada, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts of Nevada.

Arbitration

YOU AND COMPANY AGREE THAT, EXCEPT AS MAY OTHERWISE BE PROVIDED IN REGARD TO SPECIFIC SERVICES ON THE MSI WEB SITE IN ANY SPECIFIC TERMS APPLICABLE TO THOSE SERVICES, THE SOLE AND EXCLUSIVE FORUM AND REMEDY FOR ANY AND ALL DISPUTES AND CLAIMS RELATING IN ANY WAY TO OR ARISING OUT OF THESE TERMS OF USE, THE MSI WEB SITE AND/OR THE SERVICE (INCLUDING YOUR VISIT TO OR USE OF THE MSI WEB SITE AND/OR THE SERVICE) SHALL BE FINAL AND BINDING ARBITRATION, except that: (a) to the extent that either party has in any manner infringed upon or violated or threatened to infringe upon or violate the other party's patent, copyright, trademark or trade secret rights, or you have otherwise violated any of the Member Conduct Rules set forth above or in the Polices and Procedures then the parties acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought; and (b) no disputes or claims relating to any transactions you enter into with a third party through the MSI Web site or Service may be arbitrated.

Arbitration under this Agreement shall be conducted by the American Arbitration Association (the "AAA") under its Commercial Arbitration Rules and, in the case of consumer disputes, the AAA's Supplementary Procedures for Consumer Related Disputes ( the "AAA Consumer Rules") (collectively the "AAA Rules"). The location of the arbitration shall be in Indianapolis, Indiana and the allocation of costs and fees for such arbitration shall be determined in accordance with such AAA Rules and shall be subject to the limitations provided for in the AAA Consumer Rules (for consumer disputes). If such costs are determined to be excessive in a consumer dispute, MSI will be responsible for paying all arbitration fees and arbitrator compensation in excess of what is deemed reasonable. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

To the fullest extent permitted by applicable law, NO ARBITRATION OR CLAIM UNDER THESE TERMS OF USE SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER USER OF THE SERVICE, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. In no event shall any claim, action or proceeding by you related in any way to the MSI Web site and/or Service (including your visit to or use of the MSI Web site and/or the Service) be instituted more than one (1) year after the cause of action arose.
